Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legal agreement between you and Gen X Girl Club LLC ("Sovereign," "we," "us," or "our") governing your use of the Sovereign mobile application (the "App"), our website at genxgirlclub.com, the private community (The Sanctuary), the Audio Vault, the Self-Hypnosis Studio, live coaching, and any related features (collectively, the "Services").

By creating an account, downloading the App, or otherwise using the Services, you agree to these Terms and to our Privacy Policy and End User License Agreement. If you do not agree, do not use the Services.

2. Nature of the Service

Sovereign is a wellness and coaching application designed for women navigating the nervous system disruptions associated with perimenopause. The Services include educational content, guided audio and self-hypnosis sessions, journaling and tracking features, a private community, and group coaching with a Certified Professional Coach.

The Services are intended to support general well-being. The Services are not a healthcare service, are not a medical device, and are not a substitute for professional medical advice, diagnosis, or treatment.

3. No Medical Advice — Important Disclaimer

The Services do not provide medical advice. Any content, scan readings, audio sessions, recommendations, or coach communications offered through the Services are for general informational and educational purposes only.

• The Nervous System Scanner produces a wellness reading. It is not a diagnostic tool and is not intended to detect, diagnose, monitor, treat, cure, or prevent any disease or condition.
• Sarah T. Davis, CPC, is a Certified Professional Coach, not a licensed medical, mental-health, or healthcare provider. Coaching is not therapy, counseling, or psychotherapy.
• Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition, mental-health condition, or treatment.
• Never disregard, avoid, or delay seeking medical advice because of something you read, heard, or experienced through the Services.
• If you think you may have a medical emergency, call your doctor or emergency services immediately. Do not rely on the App in an emergency.

4. Eligibility

The Services are intended for adults age 18 or older. By using the Services, you represent and warrant that you are at least 18 years old, that the information you provide is accurate, and that you have the legal capacity to enter into these Terms.

5. Your Account

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at sarah@genxgirlclub.com if you suspect unauthorized access. You may not share your account or transfer it to anyone else.

6. Subscriptions & Billing

The App is free to download. Premium features are available through one or more auto-renewing subscriptions (each, a "Subscription").

• Pricing: current pricing for monthly and annual Subscriptions is shown in the App and on the App Store.
• Billing: Subscriptions are sold and billed by Apple through your Apple ID. Payment is charged when you confirm purchase.
• Renewal: Subscriptions automatically renew at the same price unless cancelled at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours of the end of the current period.
• Free trials and introductory offers: any free trial or introductory price is available only to eligible users. If you do not cancel before the trial ends, you will be charged the standard Subscription price.
• Manage your Subscription: you can view, change, or cancel your Subscription in iOS Settings > [your name] > Subscriptions.

7. Cancellation & Refunds

You can cancel a Subscription at any time. Cancellation takes effect at the end of the current billing period and you keep access until then. Refund requests are handled exclusively by Apple under the App Store's refund policy at reportaproblem.apple.com. We do not have the ability to issue refunds for App Store purchases.

8. License to Use the App

Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on Apple-branded devices that you own or control, and to access the Services for your personal, non-commercial use. All other rights are reserved. See our EULA for additional license terms.

9. User Content

"User Content" means anything you submit through the Services — journal entries, posts, comments, replies, photos, audio, or other materials. You retain ownership of your User Content. You grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify (e.g., for formatting), display, and distribute User Content solely to operate, provide, and improve the Services.

You represent that you own or have the rights to your User Content and that it does not violate these Terms or any law. We may, but are not obligated to, review, moderate, or remove User Content at our discretion.

10. Community Conduct

The private community inside Sovereign is a space for support, accountability, and connection. To keep it safe, you agree:

• Treat every member with respect. No harassment, threats, hate speech, or discrimination.
• Do not share another member's posts, name, photo, or personal details outside the community without their permission.
• Do not promote, sell, or solicit business inside the community.
• Do not give medical, mental-health, legal, or financial advice. Share your experience, not prescriptions.
• Follow any additional community guidelines posted in-app.

11. Prohibited Uses

You may not, and may not permit any third party to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Reverse-engineer, decompile, or disassemble the App, or attempt to extract source code, except where the law expressly permits.
• Modify, copy, distribute, sell, lease, or sublicense the Services or any User Content other than your own.
• Bypass, disable, or interfere with security features, rate limits, or access controls.
• Use bots, scrapers, or other automated means to access the Services.
• Upload viruses, malware, or otherwise harmful code.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Collect or harvest information about other users without consent.

12. Intellectual Property

The Services and all content created by or for Gen X Girl Club LLC — including the Sovereign name, the C.A.L.M. framework, "The Silent Crash," "Nervous System Weather," coaching curricula, audio recordings, written materials, design, software, and trademarks — are owned by Gen X Girl Club LLC or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right in our marks or content other than the limited license described in Section 8.

13. Third-Party Services

The Services may interoperate with third-party platforms, including Apple's App Store, Apple HealthKit, and our infrastructure providers. Your use of those services is governed by their own terms. We are not responsible for third-party services and their availability.

14. Suspension & Termination

You may stop using the Services at any time and delete your account from inside the App or by emailing us. We may suspend or terminate your access if we reasonably believe you have violated these Terms, abused the community, attempted to defraud us or Apple, or created risk for us or other users. We will give notice where reasonably possible. Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity, and disputes) will survive.

15. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Services will meet your requirements or produce any specific result.

16. Limitation of Liability

To the fullest extent permitted by law, Gen X Girl Club LLC, its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of the Services. Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim arose, or (b) USD $100. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability — those limitations apply to you only to the extent permitted.

17. Indemnification

You agree to indemnify, defend, and hold harmless Gen X Girl Club LLC and its officers, employees, and contractors from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of (a) your use or misuse of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

18. Disputes & Arbitration

Please read this section carefully — it affects your legal rights.

You and Gen X Girl Club LLC agree to resolve any dispute arising out of or relating to the Services or these Terms through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except (a) you may bring claims in small-claims court if eligible, and (b) either party may seek injunctive relief in court for intellectual-property infringement.

Class-action waiver. All disputes will be resolved on an individual basis. You waive any right to participate in a class action or class-wide arbitration.

30-day opt-out. You may opt out of this arbitration agreement by emailing sarah@genxgirlclub.com within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out."

19. Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. For any dispute not subject to arbitration, the exclusive forum will be the state and federal courts located in Eagle County, Colorado, and you consent to personal jurisdiction there.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the App or by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.
